Macquarie Infrastructure To Sell Atlantic Aviation To KKR For $4.475 Bln – Quick Facts

Macquarie Infrastructure Corp. (MIC) and KKR & Co. Inc. (KKR) announced Monday the signing of a definitive agreement for MIC to sell its Atlantic Aviation business to KKR for $4.475 billion in cash and assumed debt and reorganization obligations.

Atlantic Aviation operates one of the largest networks of fixed base operations (FBOs) in the U.S. providing a full suite of critical services to the private aviation sector.

MIC expects to receive $3.525 billion at closing following the reorganization of MIC into a limited liability company, Macquarie Infrastructure Holdings LLC or MIH. The reorganization was approved by MIC shareholders on May 6, 2021 and is expected be completed shortly before the closing of the Atlantic Aviation sale.

The cash proceeds of approximately $3.298 billion will be available for distribution to unitholders after a disposition payment by MIH to MIC’s external manager of approximately $227 million. The MIH board of directors is expected to authorize a cash distribution of approximately $37.35 per unit following closing of the transaction.

The sale of Atlantic Aviation is expected to close in the fourth quarter of 2021, subject to customary regulatory approvals and approval from MIC shareholders.

AbbVie Says Health Canada OKs RINVOQ For Adults With Active Psoriatic Arthritis

Biopharmaceutical company AbbVie (ABBV) said Monday that Canadian regulator Health Canada has approved RINVOQ for the treatment of adults with active psoriatic arthritis or PsA.

RINVOQ (upadacitinib, 15 mg), an oral, once-daily selective and reversible JAK inhibitor was administered to adults with active PsA who have had an inadequate response or intolerance to methotrexate or other Disease-Modifying Anti-Rheumatic Drugs or DMARDs.

The company said the approval is backed by efficacy and safety data of two pivotal Phase 3 studies and that the safety profile of RINVOQ in psoriatic arthritis was consistent with previously reported results across the Phase 3 rheumatoid arthritis clinical trial program, with no new significant safety risks detected.

Construction aggregates producer Vulcan Materials Co. (VMC) and peer U.S. Concrete, Inc. (USCR) announced Monday that they have entered into a definitive merger agreement, whereby Vulcan will acquire all of the issued and outstanding shares of U.S. Concrete common stock for a purchase price of $74.00 per share in cash, which represents a total equity value of $1.294 billion.

The transaction has been unanimously approved by the boards of directors of both companies and is expected to close in the second half of 2021, subject to U.S. Concrete shareholder approval, regulatory clearance, and other customary closing conditions.

Headquartered in Euless, Texas, U.S. Concrete operates in large, attractive metropolitan areas that complement Vulcan’s existing footprint. It has 27 aggregates operations serving California, Texas and the Northeast, that shipped 12.6 million tons in 2020.

The acquisition of U.S. Concrete’s portfolio represents a natural addition to Vulcan’s business and expands Vulcan’s aggregates-led business in attractive growing metropolitan areas.

The transaction also provides strategically oriented ready-mixed concrete operations that will expand Vulcan’s service capabilities.

India's Modi PM announces free Covid-19 vaccines for all adults

Modi said in a televised address that the federal government would take over the task of vaccination from state governments.

"It has been decided that from June 21, all adults over the age of 18 will be vaccinated free," he said.

Under the earlier policy, the federal government gave free vaccines to the elderly and frontline workers, and left state governments and private hospitals to administer doses for a fee to people in the 18-45 age group.

Elon Musk announced on Sunday that Tesla is canceling its announced Model S Plaid+ trim because the regular Model S Plaid “is just so good.”

The $149,990 Plaid+ was set to be the world’s quickest mass market car with a 0-60 mph acceleration time under 1.99 seconds and the longest-range electric vehicle at 520 miles, compared to the $119,990 Plaid’s claimed figures of exactly 1.99 seconds and 390 miles.

Even without the Plaid+, Tesla may soon have a car that’s quicker than that. The new Roadster will allegedly be available with a SpaceX option with a cold gas thruster that can accelerate it to 60 mph in 1.1 seconds.

After being delayed from February, the start of Model S Plaid deliveries is scheduled to begin on June 10.
